Terms of Service

The short version: Use PaidUp to chase real unpaid invoices. Don't use it to harass people or chase debts that aren't genuine. Pay your subscription on time. We can suspend accounts that violate these terms. These terms are governed by Australian law.

1. Agreement to Terms

By creating an account and using PaidUp, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use PaidUp. These Terms form a binding legal agreement between you and Regan Johnston trading as PaidUp (ABN: 93 640 127 502), an Australian sole trader.

We may update these Terms from time to time. We will notify you of significant changes by email. Continued use of PaidUp after changes are posted means you accept the updated Terms.

2. The PaidUp Service

PaidUp is an automated invoice recovery service that sends scheduled email sequences to your clients on your behalf to assist in recovering unpaid invoices. The service includes:

PaidUp is a software tool. We are not a law firm, debt collection agency, or financial advisor. The escalation guidance we provide is informational only and does not constitute legal advice. For complex disputes or significant amounts, you should seek advice from a qualified lawyer in your jurisdiction.

We reserve the right to suspend or terminate any account that we believe, in our sole discretion, is being used in violation of these terms or applicable law.

5. Plans and Billing

PaidUp offers three plans:

Subscriptions are billed monthly in advance. Payment is processed by Stripe. By subscribing, you authorise us to charge your payment method on a recurring monthly basis until you cancel.

You may cancel your subscription at any time from your account Settings. Cancellation takes effect at the end of the current billing period — you will retain access to paid features until then. We do not provide refunds for partial billing periods.

We reserve the right to change our pricing at any time. We will give you at least 30 days notice before any price increase takes effect on your account.

6. Free Plan Limits

The Free plan is limited to 3 chase sequences in total (not per month). Once you have used 3 chases you must upgrade to a paid plan to continue using PaidUp. Free plan users may not access features designated as Solo or Pro only.

7. Your Content and Data

You retain ownership of all data you input into PaidUp — your client details, invoice information, and chase history are yours. By using PaidUp you grant us a limited licence to process and use that data solely for the purpose of providing the service to you.

You are solely responsible for the accuracy of the information you provide and for ensuring you have the right to pursue each debt you enter into PaidUp. PaidUp is a tool — we act on your instructions and bear no responsibility for the content of the invoices you are chasing or the legitimacy of the debts.

By launching a chase in PaidUp, you authorise us to send emails to your client on your behalf using the email address and content you have configured. You understand and agree that:

PaidUp and all of its content, features, and functionality — including but not limited to the software, design, text, graphics, and logo — are owned by Regan Johnston trading as PaidUp (ABN: 93 640 127 502) and are protected by Australian and international intellectual property laws.

You may not copy, reproduce, modify, distribute, or create derivative works from any part of PaidUp without our express written permission. The PaidUp name and logo are trademarks of Regan Johnston trading as PaidUp.

11. Disclaimers

PaidUp is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by Australian law, we disclaim all warranties including:

PaidUp is a tool to assist you in recovering debts. We make no guarantee that using PaidUp will result in payment. Recovery rates depend on many factors outside our control.

12. Limitation of Liability

To the maximum extent permitted by Australian law, Regan Johnston trading as PaidUp's total liability to you for any claims arising from your use of the service shall not exceed the total subscription fees you have paid to us in the 3 months immediately preceding the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits or excludes any rights you have under the Australian Consumer Law that cannot be excluded by agreement.

13. Indemnification

You agree to indemnify and hold harmless Regan Johnston trading as PaidUp, its officers, employees, and agents from and against any claims, damages, losses, and expenses (including legal fees) arising from your use of PaidUp, your violation of these Terms, or your violation of any third party's rights.

14. Termination

Either party may terminate this agreement at any time. You may close your account from Settings → Danger Zone. We may suspend or terminate your account immediately if:

Upon termination, your access to the service ceases. Your data will be retained for 30 days after which it will be deleted, unless we are required by law to retain it for longer.

15. Governing Law and Disputes

These Terms are governed by the laws of Queensland, Australia. Any disputes arising from these Terms or your use of PaidUp will be subject to the exclusive jurisdiction of the courts of Queensland, Australia.

Before commencing any legal proceedings, you agree to first attempt to resolve the dispute by contacting us at support@getpaidup.live. We will make good faith efforts to resolve disputes informally within 30 days.

16. Australian Consumer Law

Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms is intended to exclude, restrict, or modify any rights or remedies you have under the Australian Consumer Law.
